These Terms and Conditions ("Terms") govern your use of our website and services, including the purchase of eco-friendly packaging solutions. By accessing our website or engaging in business with us, you agree to be bound by these Terms.

• "Company," "we," "us," or "our" refers to Wenzhou Jiarong International Trading Co., Ltd. and Zhejiang Jiarong Packaging Co., Ltd.
• "Customer," "you," or "your" refers to the individual or entity purchasing our products or services.
• "Products" refers to eco-friendly bags, packaging solutions, and related items manufactured by our company.
• "Services" includes product design, customization, manufacturing, and delivery services.
• "Website" refers to ecobaggo.com and all associated web properties.

Our services are intended for business-to-business transactions only. You must be at least 18 years old and have the legal authority to enter into binding contracts on behalf of your organization. You agree to:

• Provide accurate and complete information when placing orders
• Use our website and services for lawful business purposes only
• Not interfere with or disrupt our website or services
• Respect intellectual property rights and confidential information

We manufacture a wide range of eco-friendly packaging solutions including non-woven bags, PP woven bags, RPET bags, canvas bags, and custom packaging. All prices are quoted in USD and are subject to change based on:

• Raw material cost fluctuations
• Order quantity and specifications
• Customization requirements
• Printing and finishing options

Final pricing will be confirmed in writing before order acceptance. Bulk order discounts are available for qualified customers.

Orders are subject to our acceptance and confirmation. The ordering process includes:

1. Initial inquiry and specification discussion
2. Quotation and sample development (if required)
3. Order confirmation with detailed specifications
4. Production scheduling and timeline confirmation

Minimum order quantity (MOQ) is typically 5,000 pieces, with flexibility for first-time customers. We reserve the right to refuse orders that don't meet our production capabilities or quality standards.

Standard payment terms are:

• 30% deposit required upon order confirmation
• 70% balance due before shipment
• Payment methods: T/T (Telegraphic Transfer)
• All banking charges are borne by the respective parties

Alternative payment arrangements may be negotiated for established customers with good credit history. Late payments may incur additional charges and could affect future order processing.

Standard production lead time is 25-35 days from order confirmation and deposit receipt. Delivery terms include:

• FOB, CIF, and DDP terms available
• Sea freight, air freight, and express shipping options
• Export-standard packaging with custom branding options
• Assistance with customs clearance and documentation

Expedited production is available at additional cost. Delivery dates are estimates and may be affected by factors beyond our control, including raw material availability and shipping conditions.

Due to the custom nature of our products, returns are generally not accepted unless:

• Products have manufacturing defects
• Products don't meet agreed specifications
• Products are damaged during shipping

Claims must be reported within 7 days of delivery with photographic evidence. We will investigate all claims and provide appropriate remedies, including replacement or refund where justified.

We warrant that our products will be free from material defects and will conform to agreed specifications. However:

• Warranty is limited to replacement or repair of defective products
• Normal wear and tear is not covered
• Misuse or improper handling voids warranty
• Color variations within industry standards are acceptable

We disclaim all other warranties, express or implied, including merchantability and fitness for a particular purpose, to the fullest extent permitted by law.

Customers retain ownership of their trademarks, logos, and designs provided for customization. We agree to:

• Use customer IP only for authorized production
• Maintain confidentiality of proprietary designs
• Not reproduce customer IP for other parties
• Return or destroy customer IP upon request

Customers warrant they have the right to use all IP provided and will indemnify us against any infringement claims.

We maintain strict confidentiality regarding:

• Customer business information and trade secrets
• Product specifications and designs
• Pricing and commercial terms
• Production volumes and schedules

Our employees and partners are bound by confidentiality agreements. We expect similar confidentiality regarding our manufacturing processes and business information.

Our liability is limited to the value of the specific order in question. We shall not be liable for:

• Indirect, consequential, or special damages
• Loss of profits or business opportunities
• Delays beyond our reasonable control
• Third-party claims or actions

This limitation applies to the fullest extent permitted by applicable law and regardless of the theory of liability.

We shall not be liable for delays or failures in performance due to circumstances beyond our reasonable control, including:

• Natural disasters, pandemics, or government actions
• Labor strikes or material shortages
• Transportation disruptions or port closures
• Equipment failures or utility outages

We will notify customers promptly of any force majeure events and work to minimize their impact on order fulfillment.

These Terms are governed by the laws of the People's Republic of China. Disputes shall be resolved through:

1. Good faith negotiation between the parties
2. Mediation through recognized commercial mediation services
3. Arbitration under the China International Economic and Trade Arbitration Commission (CIETAC) rules

The place of arbitration shall be Beijing, China, and the language shall be English.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after changes constitutes acceptance of the modified Terms. For significant changes affecting existing orders, we will provide reasonable notice to affected customers.
